Dear DayStar Entertainment:
I acknowledge that many ideas, programs, slogans, scripts,
suggestions, and other literary, dramatic, or musical material
which is submitted to you is similar to material previously
used, previously submitted by others, or already under consideration
by you. I further realize that you must protect yourself against
any unwarranted claims by refusing to examine any material
submitted to you unless you are assured that you shall have
the unqualified right to determine finally whether such material
or any part thereof is in fact used by you.
I am submitting certain material to you herewith (the "Submitted
Material"). You agree that you shall not use the Submitted
Material unless you shall first negotiate an agreement with
me with respect to the rights of the Submitted Material. In
order to induce you to consider the Submitted Material, I
expressly agree that your decisions as to whether you, or
your successors, assignees, or licensees have used all or
any part of the Submitted Material, shall be conclusive and
binding upon all persons, firms, and corporations claiming
through me. I also hereby irrevocably waive, release, and
relinquish any and all claim which I, or any person, firm,
or corporation claiming through me, may now or hereafter have
against you, your successors, assignees and licensees, and
you and their respective officers, employees and representatives
in connection therewith.
I represent and warrant that I am the sole owner and author
of the Submitted Material, that it is original with me, and
that I have the exclusive right to submit it to you upon the
terms and conditions of this letter. I retain all rights to
submit the Submitted Material or any similar materials to
persons other than you.
I understand that my Submitted Material is to include a one-page
synopsis that presents an overview (no teaser) of the entire
work.
I further understand and agree that you are not responsible
for the return of any material submitted (though you will
make every reasonable effort to return Submitted Material
that is sent to you with SASE), and I acknowledge that I have
retained a duplicate copy of such material in my possession.
